Circle Valve Terms & Conditions of Sale

Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on this website for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.

Terms

Acceptance of this order is conditional on assent by the Buyer to all of the terms herein. Buyer assent is assumed unless we are notified to the contrary immediately upon receipt of the acknowledgment. None of the provisions, terms and conditions contained in the document may be added to, modified, superseded or otherwise altered except by a written instrument signed by Seller’s authorized representative, regardless of any contrary or additional provisions contained in any purchase order or other form of Buyer.

Prices

The prices specified by the Seller are subject to change without notice and are those in effect at the time of shipment. All quoted prices are subject to change in the event of any increase in raw material costs. All clerical, typographical and mathematical errors in any quotation are subject to correction by Seller.

Payment Terms

Terms are net 30 days from the date of the invoice for established accounts where Seller has received adequate financial information to warrant extending credit to Buyer. Purchase orders from customer not meeting with seller’s financial approval are not accepted under credit terms. Circle Valve Technologies, Inc. reserves the right to change its terms of payment at any time without prior notice. We also accept American Express, MasterCard, and Visa credit cards for the payment of invoices. Those who wish to pay with a credit card after utilizing NET TERMS will be subject to a 5% convince fee. Buyer understands that all past due balances will be subject to a 1 ½% per month finance charge. Buyer further agrees to pay a 25% collection charge on past due amounts in the event of default, if the account is placed with a collection agency or attorney.

Taxes

Buyer shall reimburse Seller for all taxes, excises or other charges which Seller may be required to pay to any government (National, State or Local) upon the sale, production  or transport of the commodities sold hereunder unless the Buyer shall have furnished the Seller adequate proof of exemption form such taxes.

Shipping

The shipping method will be F.O.B. shipping point as chosen by the Seller, unless specified otherwise by the Buyer and agreed to by the Seller. Buyer shall pay freight, storage, insurance and all taxes, duties or other governmental charges relating to the Equipment.

Order Acceptance

Orders shall not be deemed accepted until approved in writing by Seller. Seller reserves the right to refuse any order.

Promotional Codes/Coupon Codes

Promotional Codes/Coupon Codes hereinafter referred to as Codes, are valid only for online purchases and may not be used over the phone. All codes will be subject to verification at time of presentation and Circle Valve reserves the right to withdraw codes at any given time, even if other sites are displaying the codes. Codes cannot be applied to previously placed orders. Certain products are excluded from codes; see the details of the code for a list of products that are included. The code is and shall remain the property of Circle Valve and is not transferable and not redeemable for cash, credit, or towards previous purchases.

Returns and Cancellation Policy

Accepted purchase orders for any product are generally non-cancellable and the items are non-returnable. It is the sole discretion of the Seller to accept returns based on re-salability of the item(s). If the Seller agrees to accept a return an RMA number is required prior to the return of the product. All returns are subject to a restocking fee and inspection prior to acceptance. Returns will be issued in the form of a credited to the customers open account if accepted.

Warranty

Products are warranted to be free of defects in material and workmanship for a period of one year after sale if properly installed and maintained and under the normal use and service for which the equipment is intended. The Buyer is to inspect the goods within ten days of delivery and to then immediately notify seller of any defects in order to claim a defect. Seller is not liable for any consequential, incidental or special damages resulting directly or indirectly from the design, material, workmanship, operation or installation of any of its products. Any goods claimed to be defective shall be returned to us for examination in their original or equivalent packaging. We shall remedy defects if the warranty claim is valid and within the warranty period. It is at our discretion whether we remedy the defect by repair or replacement. We shall only bear costs necessary to remedy the defect.

Claims for Omitted or Damaged Goods

Any claims by Buyer for omission of products in the shipped goods, shortages of product, or damaged goods in a shipment are waived by Buyer unless Buyer provides notice to Seller within 10 days after Buyer’s receipt of shipment.

Export Restrictions

Buyer agrees to comply with all applicable United States export control laws and regulations concerning export and re-export of Products, including without limitation, the laws and regulations administered by the United States Department of Commerce and the United States Department of State.

Indemnity

Buyer shall indemnify and hold harmless Seller with respect to all damages, losses, claims and expenses, including but not limited to consequential and incidental damages and attorney fees, that Seller incurs as a result of Buyer’s breach of any of Buyer’s obligations under these Terms of Sale or any other claim resulting from Seller’s manufacture of the goods, or performance of the services, to Buyer’s specifications.

Arbitration Agreement

Any controversy or claim arising out of or relating to this agreement, or the breach thereof, shall be settled by arbitration in accordance with the rules of the American Arbitration Association and the statutes of the State of Pennsylvania. All hearings held in connection with any such arbitration shall be held in Montgomery County, Pennsylvania (unless the parties agree otherwise in writing), the award of the arbitrator(s) shall be final and binding upon the parties and the judgment upon and the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

Termination

We reserve the right, in our sole discretion, and without liability, to terminate your access to all or part of the site at any time, with or without notice, for any reason.
